Dear Tim,

This letter serves as official notice that EDJ Enterprises, Inc. has received your letter of December 15, 2005 exercising PKWARE’s right to terminate the Reseller Agreement between Ascent Solutions, Inc. and EDJ Enterprises, Inc.

Given PKWARE’s removal from marketing and discontinuance of the POSZIP product for the IBM 4690 platform, and the decision to end maintenance support for the product at the end of current maintenance terms, it is understandable that our role as your business partner has come to an end.
